License and Confidentiality Agreement for Access to Reed Smith Extranet

You are entering the private extranet of Reed Smith LLP. Use of the Extranet is available only to select clients and other parties authorized by Reed Smith ("authorized users"). By clicking or otherwise entering the Reed Smith Extranet you represent that you have read and agree to these terms and conditions and that you are an authorized user. If you do not agree to the terms and conditions, or if you are not an authorized user, then you must not use the Extranet or its contents.

You understand that in addition to being confidential, some of all of the information is privileged under the attorney-client, attorney work-product, or other applicable privileges. No express or implied waiver of privilege is being made.

You agree to strictly maintain the confidentiality of your username, password and any other confidential and/or privileged information contained on the Extranet. You agree that it is your responsibility not to disclose any confidential or privileged information to others or to allow any unauthorized party to access the Extranet or its contents. You acknowledge that any unauthorized use of the extranet, or the material contained on the extranet, would cause irreparable injury to Reed Smith without adequate remedy at law. In such event, Reed Smith shall be entitled to injunctive relief in addition to any other remedies it may have at law or in equity.

Reed Smith reserves the right to terminate your access to the Extranet at any time. Additionally, at the request of RS and/or the applicable Client, you shall immediately return all copies of the Confidential Information obtained from your use of the Extranet and ensure that no copies, including electronic copies, are maintained in your possession, custody, or control.

Reed Smith owns all right, title and interest, including all intellectual property rights, in and to the extranet, together with all future improvements, and additions.

You understand that the information available on the Extranet is not intended to provide legal advice or to constitute the sole source of original documents. Reed Smith provides the extranet 'as-is' and without any warranty that the use thereof will be uninterrupted or error-free. Reed Smith disclaims all warranties, express or implied, in connection with the extranet, including without limitation, any implied warranty of merchantability, fitness for a particular purpose or non-infringement.
